If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility and authorized use

You may use the Service only for lawful business, educational, or internal training purposes. You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and internal policies.

2. Accounts and account security

• You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.
• You must promptly notify CopilotZone of any suspected unauthorized access, misuse, or security incident involving your account.
• CopilotZone may suspend, restrict, or terminate access where necessary to protect the Service, other users, or legal compliance.

3. Customer data and organizational responsibility

If you use the Service on behalf of an organization, your organization is responsible for obtaining all permissions, notices, and consents needed to provide employee, contractor, learner, or administrator data to the Service. Your organization remains responsible for its content, user management decisions, and training assignments.

4. Acceptable use restrictions

You may not, and may not permit any third party to:

• use the Service for illegal, infringing, deceptive, or harmful purposes;
• interfere with or disrupt the integrity, security, or performance of the Service;
• attempt to gain unauthorized access to accounts, systems, or data;
• reverse engineer, decompile, copy, scrape, or extract source material from the Service except as expressly permitted by law;
• upload malicious code, spam, or content that violates the rights of others; or
• misrepresent affiliation with any person or entity.

5. Intellectual property

The Service, including software, interface design, branding, text, graphics, training structures, and related materials provided by CopilotZone, is owned by or licensed to CopilotZone and protected by applicable intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you by implication or otherwise.

6. Feedback

If you submit feedback, suggestions, or ideas regarding the Service, CopilotZone may use them without restriction or obligation to you.

7. Third-party services and links

The Service may link to or rely on third-party services, content delivery networks, email clients, analytics tools, hosting providers, or other infrastructure. CopilotZone is not responsible for third-party services or content not under its control.

8. Availability, changes, and support

CopilotZone may modify, update, suspend, or discontinue any part of the Service at any time. We do not guarantee uninterrupted or error-free operation. Planned or emergency maintenance may temporarily affect availability.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. COPILOTZONE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

CopilotZone provides training and workflow tools, not legal advice, employment advice, compliance certification, or a guarantee that phishing, security incidents, or regulatory issues will be prevented.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COPILOTZONE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF COPILOTZONE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU OR YOUR ORGANIZATION TO COPILOTZONE FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

11. Indemnification

You agree to defend, indemnify, and hold harmless CopilotZone and its affiliates, officers, employees, contractors, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your content, your violation of these Terms, or your violation of applicable law or the rights of a third party.

12. Termination

CopilotZone may suspend or terminate access to the Service at any time if we reasonably believe you have violated these Terms, created security or legal risk, or used the Service in a way that could harm CopilotZone, other users, or third parties. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and dispute-related provisions.

13. Governing law and disputes

These Terms will be governed by the applicable laws governing the CopilotZone contracting entity and the applicable service order or written commercial agreement, without regard to conflict-of-law principles. If there is no separate written agreement, disputes will be resolved in a competent court with jurisdiction over CopilotZone's principal place of business, unless applicable law requires otherwise.

14. Changes to these Terms

CopilotZone may update these Terms from time to time. Updated Terms become effective when posted, unless a later effective date is stated. Continued use of the Service after an update means you accept the revised Terms.
